terms of service
Coder Kids, Inc. is our official name and we go by Coder Kids in the day-to-day. Coder Kids provides the following terms of service to you. We may update these occasionally as we grow, learn from our members, and figure out what works well and what probably doesn’t work so great.
What we offer you
Coder Kids provides computer science and engineering training to elementary and middle school kids who are members of the Coder Kids studio. This training includes our curriculum, personalized instruction from our trained tutors who are experienced coders themselves, our monthly hosted SEED events where Coder Kids share their projects with their friends and family at the Coder Kids studio, use of our Apple iMacs and iPads at the Coder Kids studio, and eligibility to earn Coder Kids achievement certificates, among other benefits.
How it works
We offer four month, six month and annual memberships. We will charge your credit card on a monthly recurring basis from the time you enroll. Our memberships renew automatically at the expiration of each term. The first month membership will automatically renew to an annual membership. If you don’t want to renew your membership, let us know before your current membership expires by stopping the Coder Kids studio or sending us an email at firstname.lastname@example.org.
Coder Kids register for 50-minute sessions. Coder Kids can register for sessions at the Coder Kids studio as many days every week as we are open. We are open Mondays through Saturdays, with some exceptions for holidays, which we will provide you notices about. To keep the experience fresh and fun (for everybody!), Coder Kids can register for only one session at the Coder Kids studio per day.
We love big families! Siblings memberships are discounted: 10% for the first sibling, 20% for the second sibling, and an additional 10% for each additional sibling.
Bring a friend! We offer discounts of $100 whenever you refer a friend new to Coder Kids who becomes a member with a four-month, six-month, or annual membership.
How to end your membership
We will always work diligently and passionately to delight our members with the Coder Kids’ culture, experience, products, and services. We also understand that we may not be a perfect fit for everyone and circumstances change, so to be fair you may terminate your membership to Coder Kids by talking to us at the Coder Kids studio or by sending us an email at email@example.com.
The four-month, six-month, and one-year memberships can be terminated at any time. You will be charged for the month you cancel your membership. There is no termination fee to cancel your membership.

Your registration obligations
You must be of legal age to form a binding contract and are not a person barred from receiving Coder Kids services under the laws of the United States or other applicable jurisdiction.
You also agree to: (1) provide true, accurate, current and complete information about yourself and your CoderKid in your registration form (we will call this “registration information”) and (b) maintain and promptly update the registration information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Coder Kids has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Coder Kids has the right to suspend or terminate your account and refuse any and all current or future use of the Coder Kids services, or any portion thereof.
Membership account, password, and security
You will create a member account through the Coder Kids website registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (1) immediately notify Coder Kids of any unauthorized use of your password or account or any other breach of security, and (2) ensure that you exit from your account at the end of each session. Coder Kids cannot and will not be liable for any loss or damage arising from your failure to comply with this section regarding your membership account security.
Contributions to Coder Kids
By submitting ideas, suggestions, documents, or proposals (we will call this "contributions") to Coder Kids, you acknowledge and agree that: (1) your contributions do not contain confidential or proprietary information; (2) Coder Kids is not under any obligation of confidentiality, express or implied, with respect to the contributions; (3) Coder Kids shall be entitled to use or disclose, or choose not to use or disclose, such contributions for any purpose, in any way, in any media worldwide; (4) Coder Kids may have something similar to the contributions already under consideration or in development; (5) your contributions automatically become the property of Coder Kids without any obligation of Coder Kids to you; and (5) you are not entitled to any compensation or reimbursement of any kind from Coder Kids under any circumstances.
You agree to indemnify and hold Coder Kids and its owners, officers, agents, employees, and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit, modify or otherwise make available through the Coder Kids website, your use of the Coder Kids services, your connection to the Coder Kids services, your violation of the Coder Kids Terms of Service or your violation of any rights of another.
You agree to indemnify and hold Coder Kids and its owners, officers, agents, employees, and licensors harmless from any claim or demand, including reasonable attorneys’ fees, arising out of a dispute or claim against an independent third party—including but not limited to schools, individual teachers, retail stores, and entrepreneurs—for the third party’s actions or omissions.
Commercial reuse of Coder Kids services is not permitted
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion or use of, or access to, Coder Kids services, including but not limited to content, curriculum, and software.
Modifications to Coder Kids services
Coder Kids reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Coder Kids services, or any part thereof, with or without notice. You agree that Coder Kids shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Coder Kids services, or any part thereof.
Account termination by Coder Kids
You agree that Coder Kids may, without prior notice, immediately terminate, limit your access to or suspend your Coder Kids account and access to the Coder Kids services. Cause for such termination, limitation of access or suspension shall include, but not be limited to, (1) breaches or violations of the Coder Kids Terms of Service or other incorporated agreements or guidelines, (2) requests by law enforcement or other government agencies, (2) discontinuance or material modification to the Coder Kids services, or any part thereof, (3) unexpected technical or security issues or problems, (4) engagement by you in fraudulent or illegal activities, and/or (5) nonpayment of any fees owed by you in connection with the Coder Kids services. Further, you agree that all terminations, limitations of access and suspensions for cause shall be made in Coder Kids’ sole discretion and that Coder Kids shall not be liable to you or any third party for any termination of your or access to the Coder Kids services.
Coder Kids may provide, or third parties may provide, links to other web sites or resources. You acknowledge and agree that Coder Kids is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Coder Kids shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
Coder Kids' proprietary rights
You acknowledge and agree that the Coder Kids services and any necessary software used in connection with the Coder Kids services (we will call this "software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that content contained in advertisements or information presented to you through Coder Kids or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by Coder Kids or the applicable licensor, such as an advertiser, you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the Coder Kids services, such content or the software, in whole or in part.
Disclaimer of warranties
You expressly understand and agree that:
Your use of the Coder Kids services and software are at your sole risk. The Coder Kids services and software are provided on an "as is" and "as available" basis. Coder Kids and its subsidiaries, affiliates, officers, employees, agents, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.
Coder Kids and its owners, officers, agents, employees, and licensors make no warranty that (1) the Coder Kids services or software will meet your requirements; (2) the Coder Kids services or software will be uninterrupted, timely, secure or error-free; (3) the results that may be obtained from the use of the Coder Kids services or software will be accurate or reliable; (4) the quality of any products, services, information or other material purchased or obtained by you through the Coder Kids services or software will meet your expectations; and (5) any errors in the software will be corrected.
Coder Kids will not refund payments for any reason, including but not limited to missed classes, malfunction of software, and dissatisfaction with services.
Limitation of liability
You expressly understand and agree that Coder Kids and its owners, officers, agents, employees, and licensors shall not be liable to you for any punitive, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Coder Kids has been advised of the possibility of such damages), resulting from: (1) the use or the inability to use the Coder Kids service; (2) the cost of procurement of substitute goods and services; (3) unauthorized access to or alteration of your transmissions or data; (4) statements or conduct of any third party on the Coder Kids service; or (5) any other matter relating to the Coder Kids service.
No third-party beneficiaries
You agree that, except as otherwise expressly provided in this Coder Kids Terms of Service, there shall be no third-party beneficiaries to this agreement.
Coder Kids communications notice
Coder Kids may provide you with notices, including those regarding changes to the Coder Kids Terms of Service, including by but not limited to email, regular mail, sms, mms, text message, postings on the Coder Kids website, or other reasonable means now known or hereafter developed. Such notices may not be received if you violate this Coder Kids Terms of Service by accessing the Coder Kids services in an unauthorized manner. Your agreement to this Coder Kids Terms of Service constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed the Coder Kids services in an authorized manner.
You agree that all of Coder Kids’ trademarks, trade names, service marks and other Coder Kids’ logos and brand features, and product and service names are trademarks and the property of Coder Kids. Without Coder Kids' prior written permission, you agree not to display or use in any manner the Coder Kids’ logos and trademarks.
Coder Kids email newsletter
You acknowledge and agree that by creating an account using Coder Kids’ services you will be added to the appropriate email newsletter distribution list. These emails contain information about new curriculum, upcoming events, and changes to Coder Kids’ services. You may unsubscribe at any time using the unsubscribe link included in every email.
This does not include emails sent as a part of parent email updates for students enrolled in courses. Contact us at the Coder Kids Studio if you would prefer not to receive parent update emails or follow the directions in the email on how to do this automatically.
Coder Kids Social Media
You acknowledge and provide permission to Coder Kids to take pictures and videos of your child at the Coder Kids studio, as part of the coding and robotics program, summer camp experience and in community events, for the purpose of posting on social media including but not limited to Facebook, LinkedIn and Twitter. Please email us at firstname.lastname@example.org if you would not like your child to be photographed.
Almost done with the lawyer stuff
The Coder Kids Terms of Service constitutes the entire agreement between you and Coder Kids and governs your use of the Coder Kids services, superseding any prior version of this Terms of Service between you and Coder Kids with respect to the Coder Kids services. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Coder Kids services, affiliate services, third-party content or third-party software.
Choice of law and forum
You and Coder Kids each agree that the Terms of Service and the relationship between the parties shall be governed by the laws of the state of Virginia without regard to its conflict of law provisions and that any and all claims, causes of action or disputes, regardless of theory, arising out of or relating to the Terms of Service, or the relationship between you and Coder Kids shall be brought exclusively in the courts located in Fairfax County. You and Coder Kids agree to submit to the personal jurisdiction of the courts located within the county of Fairfax, Virginia, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.
Waiver and severability of terms
The failure of Coder Kids to exercise or enforce any right or provision of the Coder Kids Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Coder Kids Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Coder Kids Terms of Service remain in full force and effect.
No right of survivorship and non-transferability
You agree that your Coder Kids account is non-transferable and any rights to your Coder Kids services or contents within your account terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.
Statute of limitations
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Coder Kids services or the Coder Kids Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Coder Kids Terms of Service are for convenience only and have no legal or contractual effect.
